    General Business Terms and Conditions
      (Footwear Division)
  • Polish Leather Footwear periodically with liquid/wax polish
  • Footwear with Steel toe must be not be used in electrical installation above permissible limits (Refer our tech spec)
  • Standard Leather Footwear is not suitable for temp below (‐5 degrees), oil‐pull‐up leather uppers are excluded
  • Do not machine wash the Footwear
  • Never wear damaged/worn‐out Footwear. When not in use and store the footwear in dry conditions away from heat with silica gels to prevent moisture degradation.
  • Leather used in our Footwear is natural Bovine leather, wrinkles and uneven thickness of leather is not a defect, but natural characteristics of leather. The Footwear is hand‐made, hence it will bear all the characteristics of hand finishing, imperfection of leather etc.
  • Do not attempt to use Footwear in wet areas or water bodies. Please note the Footwear is not water‐proof or water‐resistant or water repellant, hence if exposed to water the sole and upper may rip‐off and the guarantee is null and void.
  • Tearing of leather is not a manufacturing defect but harsh/cleaning/abuse of Footwear . Wearing Footwear do not attempt to perform any work operation, operate machine, running, crawling, climbing etc . Do not use Footwear out of factory premises or to drive vehicles, cranes etc, even within factory premises, we have specialized footwears'. Avoid using Footwear near high temperature, this will result in leather hardening, which may eventually crack/break/tear.
  • Normal wear and tear is not covered under guarantee.
  • Final finish shade may slightly differ from Footwear batch to batch.
  • Use suitable Footwear for use in close proximity to oil/grease/lubricants/high heat/flame/furnace area. We have specialized Footwear models with heat proofing for such application.
  • The leather, linings trims and soling, finishing , workmanship is of high standard and as per respective specification, generally we inspect and guarantee every single pair that goes out of out, despite our best efforts in the rarest event of any genuine manufacturing defect, please intimate within seven days in writing, buyer is entitled for repair/modification/free replacement at our discretion.
  • For any correction/repair/replacement, delivery and pick‐up will be on the buyers account.
  • Payment should be settled immediately on presentation of each bill, else interest @ 3% per month will be charged, and in addition to penalty charges of 5% extra per month and ground rent will be charged. Further supply may be delayed, since production will continue only after realization of pending payment/s. Such payment delay time will be automatically extended in the delivery date.
  • The buyer agree not even try to copy/reproduce/clone/modify/duplicate the actual product directly or to interfere in our production/supply activity or till the production process is completed and offered for inspection.
  • Buyer must provide true, correct and current information when placing order (i.e.) Their contact, full address, telephone, mobile, fax, email and websites any incorrect information will terminate the PO and the prepayment will be forfeited. Any buyers import licenses, tax registration/s, necessary state entry permits etc must be sent with order, else we will not be responsible for delay, non‐delivery.
  • Any pre‐payment received in foreign exchange will be billed in US$, Rupee payment in INR, any changes must be intimated in order clearly.
  • Delivery schedule/time is only tentative and not exact, hence we are not responsible for delays in making, delivery, or any failure to make delivery due to causes beyond its control including but not limited to acts or regulations of any governmental authority, acts of God, any unavoidable circumstances, bandh, public disorders, flood, tsunami, cyclone, fire, work stoppage, slowdown, accident, war, and national calamities, emergency etc.
  • We reserve the right to hold shipping to whose accounts are not in good standing with our company at the time of order placement or order shipment.
  • Order once issued cannot be revoked by the client on any circumstances, if such order is unilaterally cancelled then the advance paid stands forfeited. Any advance cannot be returned or adjusted with swapping or supply of other model etc.
  • We will do the best to supply the same Model/s that is approved by buyers, however due to any unavoidable circumstances if we are unable to offer the same model, either due to updations, or discontinuing, or machine breakdown or other reason, we will supply a similar or close model, and the advance cannot be refunded.
  • Payment must be in cheque drawn on our company VISHMI VENTURES only, we are not responsible if any cash is paid without proper receipt/challan

  • If the price is negotiated on actual price, we have no choice but to offer strip down service, for revised quotations marked R in our quotation ref number, there is no guarantee, and the client does not wants any guarantee/assurance.
  • Goods will be taken back/disposed and cost recovered if payment is not settled in full within 30 days from date of supply.
  • All packing will be industrial style and in bulk unless stated, individual or specialized packing will be charged extra.
  • Our design/style is our property and must not be copied, modified, cloned etc, without our written consent, if copied, you will be billed for design cost + development + royalty charges as deemed fit by the company, and such charges must be paid within 15 day.
  • Our company name, brand will/may be present in our product/packing, incase you do not need them , please inform well ahead with order.
  • Please Distribute PU SOLE SHOES as soon as possible. Maximum within 6 months of delivery. 
  • Shelf Life of PU Sole Shoes: Under well ventilated and temprature below 30 degrees is 2 years, temp below 35 degrees is 1.5 years and any temprature above is les than 1 yeasr, which please be noted. Must distribute shoes max 6 months from date of manufacturing (marked at teh bottom of sole) For any clarification please call us.
  • Unless until agreed by us in writing by our authorised signatory, our quotation is final and binding both sides.
  • The quoted discounted slab rate/s is/are final and is/are applicable only for actual volume at the time of order/billing which ever is lower. Footwears will be supplied in one or part supply, Invoice will be raised after completion of each supply, the same must be settled individually as above, delay if any will be adjusted in the delivery date of next supply/ies.
  • Proper logo/design must be sent for customization, final design will be as close as possible but the outcome depends on design/colour combination/size. Any design/logo e protected by copyright, trade mark and other intellectual property laws needs to be taken care by buyer and the buyer takes the full responsibility by law. Such logo/designs/updation must be intimated in PO or well before we commence production, once production commences, then no changes/modification/alteration can be done.
  • For any reason if the payment is delayed or deferred or unilateral deduction, invoking unilateral terms, willful and inappropriate conduct of the employee/s or the company then our conditions under serial no. 40 will be invoked besides necessary complaints will be lodged/registered for appropriate legal action at buyers cost/risk and responsibility. The penalty will be charged till the date of settlement of payment in cheque/DD/cash. Under any of these circumstances, the buyer’s info and complaint will be posted on online/open/public forums and website/s besides necessary and appropriate action.
  • Order is Subject to availability of stock or production at the time of placing order, any extras or short fall + or ‐ 10% must be accepted.
  • For Repeat orders design cannot be guaranteed to be exact like previous supply, design will vary, any such variation need to be accepted, to order exact shade we need Minimum Quantity Order, alternatively the buyer can choose to reserve stock on prepayment. Incase buyer need to see/approve sample of supply, then delivery date will be based on the approval and beyond, in this case our assured delivery date is null and void. We will not be responsible for any delay whatsoever.
  • By issuing PO/advance/LOI/confirmation in oral, written, email, sms etc, you agree to all our terms and conditions
  • Under any circumstances, if any unilateral, unwarranted, unacceptable terms, quantity alterations, cancellation of PO, improper data sheets, size charts, vague terms (i.e.) improve quality, better quality etc are invoked or planned to be invoked then the production will be stalled as in where is conditions, any delay, non delivery is not our risk or responsibility. If the footwears are ready, then the buyer must arrange full payment in cash/DD before taking delivery themselves. All guarantee and warrantee is null and void.
  • Kindly note for short delivery dates (below 15 days, working days alone is counted, excluding every Sunday, state/central government holidays)

  • Any last minute order or extra order will be done separately, hence this must not be treated as part of order to make the payment.
  • Guarantee is applicable only when stated in our final offer. No guarantee is applicable for revised offer/s.
  • Free replacement is for major manufacturing defect only, which will be determined by our technical team. Complaints if any will be inspected by our technical team and their judgment is final and binding. Our responsibility/liability at any circumstance is limited to repair/rectification of the Footwear in question and not refund.
  • Any modification, repair etc, carried out by the end user without proper intimation to us, will render the guarantee null and void.
  • These guarantees are valid for Footwear maintained in good condition and the company cannot be held responsible for any usage not provided for within the framework of this current information notice. The use of accessories not provided for at the outset, modification, alteration can affect the protective functions. If necessary please contact our Technical Services Department.
  • Any typographical error, omissions, errors stands ignored, we reserve our right to correct them.
  • Original sample if any must be returned to match with bulk supplies, else supply may vary.
  • Proper code, product classification must be provided with order, else we are not responsible for incorrect product/supply.
  • Our offer is subject to Chennai Jurisdiction only.
Exclusive domestic supplies terms (Does not apply for Exports)
  • For advance or balance payment cheque bounce a penalty of Rs 1000/‐ will be charges extra. If any stop payment of cheque is issued unilaterally after issuing cheque, an amount equal to that of the invoice will be charged as penalty, besides our right to legal/civil remedies.
  • Delivery of goods should be taken from our office within 7 calendar days of intimation by phone/mobile/email/letter failing which demurrage shall be charged @ Rs. 25/‐ per day/per pair will be charged extra.
  • Delivery is ex‐our office, delivery charge is Rs 1000/‐ minimum for 25 kms and Rs 25/km thereafter, which must be prepaid.
